1. Program Overview
The Verge Promoter Program ("Program") allows approved participants ("Promoters") to earn commissions by referring new customers to Verge Software products and services. By joining the Program, you agree to be bound by these terms in addition to our general Terms of Service and Privacy Policy.
2. Eligibility & Approval
Participation in the Program requires approval by Verge Software. We reserve the right to accept or reject any application at our sole discretion. You must be at least 18 years old and legally able to enter into a binding agreement. You must provide accurate and complete information during registration.
3. Referral Links & Tracking
Upon approval, you will receive unique referral links to share. Referrals are tracked using browser cookies with an attribution window currently set at 30 days, which may be adjusted at our discretion. You are responsible for sharing your links through legitimate channels. We reserve the right to disqualify referrals that result from misleading, fraudulent, or spammy practices.
4. Commissions
Commissions are earned when a referred customer completes a qualifying paid subscription purchase. The default commission rate is currently up to 20% of each qualifying payment, unless a custom rate has been agreed upon. Commission rates may be adjusted at any time in accordance with Section 11. Commissions are recurring for as long as the referred customer maintains an active paid subscription.
All commissions are subject to a holding period (currently 30 days) before they become eligible for approval and payout. This allows time for potential refunds, chargebacks, or fraud review. The holding period may be adjusted at our discretion.
Commissions are not earned on:
- Free plan signups
- Self-referrals (referring yourself or your own accounts)
- Referrals made while your account is suspended
- Fraudulent, incentivized, or misleading referrals
5. Payouts
Commissions must be approved by our team before becoming eligible for payout. Payouts are processed monthly via your selected payout method (GCash, Maya, or bank transfer). A minimum payout threshold applies and may be adjusted at our discretion. The current threshold is displayed in your promoter dashboard. You are responsible for any taxes or fees associated with your earnings.
6. Prohibited Conduct
As a Promoter, you agree not to:
- Use paid search ads that bid on "Verge," "Verge Software," or similar branded keywords
- Create websites or content that impersonates or misrepresents Verge Software
- Send unsolicited spam or bulk messages containing referral links
- Offer unauthorized discounts, rebates, or cashback incentives
- Generate fake referrals, clicks, or signups using bots or automated tools
- Use cookie stuffing or other deceptive tracking methods
7. Intellectual Property
You may use the Verge Software name and logo solely for the purpose of promoting our products as part of the Program. All intellectual property remains the property of Verge Software. We may provide promotional materials for your use, which must not be altered without written permission.
8. Suspension & Termination
We reserve the right to suspend or terminate your participation in the Program at any time and for any reason, including but not limited to violation of these terms. Upon termination, you will receive payment for any approved, unpaid commissions earned prior to termination. Pending (unapproved) commissions may be forfeited.
9. Commission Reversals
Commissions that have been approved and paid are generally not reversed if a referred customer later cancels. However, we reserve the right to reverse or withhold commissions in cases of fraud, abuse, chargebacks, or violation of these terms. Future commissions from a cancelled customer will cease upon cancellation.
10. Limitation of Liability
Verge Software shall not be liable for any indirect, incidental, or consequential damages arising from your participation in the Program. Our total liability is limited to the amount of commissions earned by you in the 12 months preceding any claim.
11. Modifications
We reserve the right to modify these terms, commission rates, or Program structure at any time. Material changes will be communicated via email or through your promoter dashboard. Continued participation after changes constitutes acceptance of the updated terms.
12. Governing Law
These terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes shall be subject to the exclusive jurisdiction of the courts located in the Philippines.
